Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Versely mobile application, website, and related services (collectively, the "Services") provided by AI XLabs Innovation ("we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Services.

1. Eligibility

You must be at least 13 years of age to use the Services. By using Versely, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information, and to keep your credentials secure. You are responsible for all activities under your account.

3. Use of the Services

You agree to use the Services only for lawful purposes. You shall not:

• Use the Services to generate content that is illegal, harmful, abusive, defamatory, obscene, or otherwise objectionable.
• Infringe upon the intellectual property rights, privacy, or publicity rights of others.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Use automated means (bots, scrapers) to access the Services without our written permission.
• Interfere with or disrupt the Services or servers/networks connected to the Services.
• Reverse engineer, decompile, or disassemble any aspect of the Services.

4. AI-Generated Content

Versely uses third-party artificial intelligence services to generate content based on your inputs (prompts, images, audio, and other media). You acknowledge that:

• AI-generated outputs may not always be accurate, complete, or suitable for your intended purpose.
• You are solely responsible for reviewing, verifying, and using AI-generated content appropriately.
• Your inputs (prompts, uploaded media) are sent to third-party AI service providers for processing.
• We do not guarantee any particular result or quality of AI-generated content.

5. Third-Party AI Services

The Services integrate with multiple third-party AI providers to deliver content generation features. These providers include, but are not limited to:

• Google (Gemini) — AI chat, text generation, and content understanding
• Anthropic (Claude) — AI chat and content generation
• Fal AI — Image generation
• Replicate — Video and image generation
• RunPod — Custom AI model inference
• Suno — Music generation
• ElevenLabs — Text-to-speech and voice synthesis
• Cartesia — Voice design and synthesis
• OpenRouter — AI model routing

Your use of the Services is also subject to the terms and policies of these third-party providers. For details on what data is shared and how it is handled, please refer to our Privacy Policy.

6. Subscriptions and Payments

A. Subscription Plans

Versely offers auto-renewable subscription plans that provide credits for AI content generation. Subscription details, including the plan name, duration, price, and included credits, are displayed at the time of purchase within the app.

B. Billing and Renewal

• Subscriptions are billed at the start of each billing period (weekly, monthly, or annually, depending on the plan selected).
• Subscriptions automatically renew at the end of each period unless cancelled at least 24 hours before the current period ends.
• Your Apple ID or Google Play account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.

C. Cancellation

• You may cancel your subscription at any time through your device's subscription settings (Apple App Store or Google Play Store).
• Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription benefits until that date.
• No refunds are provided for any unused portion of a subscription period.

D. Credit Packs

In addition to subscriptions, you may purchase one-time credit packs. Credits are non-refundable, non-transferable, and have no cash value. Unused credits do not expire while your account remains active.

E. Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect for the next billing period following notice of the change.

7. Intellectual Property

A. Your Content

You retain ownership of the content you submit to the Services. By submitting content, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Services to you.

B. Generated Content

Subject to these Terms and applicable third-party AI provider terms, you may use AI-generated content for personal and commercial purposes. You are responsible for ensuring your use of generated content complies with applicable laws.

C. Our Intellectual Property

The Services, including the app design, logos, trademarks, and underlying technology, are owned by AI XLabs Innovation and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without written permission.

8. Content Moderation

We reserve the right to review, restrict, remove, or disable access to content that violates these Terms, applicable laws, or poses legal, security, or safety risks. Such actions may be taken with or without notice.

9. Account Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to the Services, other users, or third parties. You may delete your account at any time through the app settings.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy or reliability of any AI-generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI XLABS INNOVATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Our total liability for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AI XLabs Innovation and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, your content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
